1. Introduction

These Terms and Conditions (“Terms”) govern the provision of payroll services by Hansards Resourcing Ltd (“we”, “us”, “our”) to our clients (“you”, “your”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Provided

Hansards Resourcing Ltd provides payroll services to businesses, with a specific focus on the private healthcare sector. Our services include but are not limited to:

  • Payroll processing (weekly, fortnightly, or monthly)
  • Real-Time Information (RTI) submissions to HMRC
  • Pension auto-enrolment and reporting
  • Statutory pay management (Sick Pay, Maternity Pay, etc.)
  • BACS payments and reporting
  • End-of-year filings (P60s, P11Ds, etc.)
  • Compliance with relevant tax laws, including PAYE and National Insurance

The full scope of our services will be outlined in the contract or agreement you enter with us.


3. Client Responsibilities

As a client, you are responsible for the following:

  • Accurate Information: Providing accurate and up-to-date employee and payroll data in a timely manner.
  • Payment for Services: Ensuring all invoices are paid promptly in accordance with our agreed payment terms.
  • Compliance: Ensuring that you comply with all relevant UK employment, tax, and health & safety laws.
  • Notifying Us of Changes: Informing us of any changes to your workforce or payroll requirements, such as new hires, terminations, or changes in pay rates.

4. Fees and Payment

  • Service Fees: The fees for our services will be outlined in your service agreement or as otherwise agreed upon.
  • Payment Terms: Invoices are payable within 30 days from the date of issue, unless otherwise agreed. If payment is not received by the due date, we reserve the right to charge interest at a rate of 2% per month on overdue amounts.
  • Additional Charges: Any additional work or out-of-scope services will incur extra charges, which will be agreed upon in writing prior to the work being undertaken.

5. Term and Termination

  • Term: The agreement between us and you will continue until either party terminates it according to these Terms.
  • Termination by You: You may terminate our services at any time by providing 30 days’ written notice.
  • Termination by Us: We may terminate the agreement immediately if:
    • You breach any material term of this agreement and fail to remedy it within 14 days of receiving notice.
    • You fail to make timely payments.
    • You are unable to provide us with the required data for payroll processing.
  • Consequences of Termination: Upon termination, all outstanding invoices must be paid immediately, and we will cease providing payroll services. We will ensure a smooth transition of your payroll records to a nominated third party if required.

6. Confidentiality and Data Protection

  • Confidentiality: Both parties agree to keep all confidential information, including employee data, payroll information, and business operations, secure and not disclose it to third parties without prior written consent unless required by law.
  • Data Protection: We are committed to complying with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018. We will process your data solely for the purposes of providing payroll services and will take all reasonable measures to protect your data.

7. Liability and Indemnity

  • Liability: Hansards Resourcing Ltd will not be liable for any indirect, special, or consequential loss, including loss of profits, arising out of our services.
  • Limitation of Liability: Our liability for direct damages arising from negligence, breach of contract, or other causes shall be limited to the fees paid by you for the services in the 3 months prior to the incident causing the damage.
  • Indemnity: You agree to indemnify and hold Hansards Resourcing Ltd harmless against any claims, damages, losses, or expenses arising from your failure to comply with the Terms of this agreement.

8. Force Majeure

Hansards Resourcing Ltd will not be held liable for any failure or delay in providing services caused by factors beyond our control, including but not limited to natural disasters, government actions, pandemics, or labour disputes.


9. Intellectual Property

All intellectual property rights in materials provided by Hansards Resourcing Ltd, including but not limited to payroll software, reports, and proprietary systems, remain the property of Hansards Resourcing Ltd.


10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through informal negotiation. If a resolution cannot be reached, the dispute will be resolved through mediation or arbitration before seeking formal legal action.


11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


12. Entire Agreement

These Terms constitute the entire agreement between you and Hansards Resourcing Ltd regarding the provision of payroll services and supersede all prior agreements, communications, or representations (whether written or oral).
